4. FSFB Services

• a. Nature of Services: FSFB provides financial brokerage and advisory services, including but not limited to Property Investment advisory, Property Mortgage Services, Trade and Working Capital Finance solutions, and Merchant Cash Advance (MCA) facilitation. FSFB acts as an intermediary and broker to connect clients with financial institutions and solutions providers. FSFB is not a lender, direct investor, or financial institution unless explicitly stated otherwise in a separate written agreement.
• b. No Guarantee: While we strive to provide high-quality services and facilitate access to financial solutions, FSFB does not guarantee that you will be successful in obtaining financing or achieving any specific investment outcome. The final decision to provide any financial product or service rests with the respective financial institution or solution provider.
• c. Client Cooperation: Successful provision of our Services depends on your timely cooperation and provision of accurate and complete information as requested.
• d. Fees and Commissions: FSFB may receive fees or commissions from financial institutions or solution providers for the services rendered. Where applicable and required by law, details of such remuneration will be disclosed to you. Any fees payable by you to FSFB for our services will be outlined in a separate client agreement or fee schedule.

5. Intellectual Property Rights The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by FSFB, its licensors, or other providers of such material and are protected by UAE and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.

Limitation of Liability TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL FSFB, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

FSFB’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SITE OR USING THE SERVICES DIRECTLY ATTRIBUTABLE TO THE CLAIM, OR AED 100, WHICHEVER IS LESS.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. ALL FINANCIAL DECISIONS MADE BY YOU ARE YOUR SOLE RESPONSIBILITY. FSFB IS NOT A FINANCIAL ADVISOR PROVIDING FIDUCIARY ADVICE UNLESS EXPLICITLY STATED IN A SEPARATE WRITTEN AGREEMENT SIGNED BY AN AUTHORIZED REPRESENTATIVE OF FSFB. YOU ACKNOWLEDGE THE RISKS ASSOCIATED WITH FINANCIAL AND INVESTMENT DECISIONS.

9. Indemnification You agree to defend, indemnify, and hold harmless FSFB, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site or Services, including, but not limited to, any use of the Site’s content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Site.

10. Modifications to Terms and Services FSFB reserves the right, at its sole discretion, to revise and update these Terms from time to time. All changes are effective immediately when we post them and apply to all access to and use of the Site and Services thereafter. Your continued use of the Site or Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you. We also reserve the right to withdraw or amend this Site, and any service or material we provide on the Site, in our sole discretion without notice.

11. Termination We may terminate or suspend your access to all or part of the Site or Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site and Services will cease immediately.

Governing Law and Dispute Resolution All matters relating to the Site, the Services, and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the federal laws of the United Arab Emirates as applicable in the Emirate of Dubai, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms, the Site, or the Services shall be instituted exclusively in the courts of Dubai, UAE, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Severability If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14. Waiver No waiver by FSFB of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of FSFB to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement These Terms and our Privacy Policy constitute the sole and entire agreement between you and Flamingo Star Financing Broker LLC regarding the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site and Services, unless you have entered into a separate written client agreement with FSFB, in which case that agreement shall prevail where its terms conflict with these Terms.
